THIS SWEEPSTAKES IS INTENDED FOR PARTICIPATION IN THE UNITED STATES ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT PARTICIPATE IF YOU ARE NOT ELIGIBLE AND LOCATED IN THE UNITED STATES AT THE TIME OF ENTRY.

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

Eligibility: The Purina® Tidy Cats® Community Sweepstakes (the "Sweepstakes") is open to legal residents of the 50 United States and D.C., who are 18 years of age (19 years of age in AL and NE) or older and who own at least one cat. Employees of Nestlé Purina PetCare Company, its subsidiary companies, affiliates, service providers, advertising and promotional agencies, and the independent judging organization, and the immediate family (spouse, parent, child, sibling and their respective spouses or "step" of each) and household members of such employees are not eligible. Void outside the USA and where prohibited by law.

Entry Period: Sweepstakes begins at 2:00:00 p.m. CT on April 5, 2011 and ends at 1:59:59 p.m. CT on March 6, 2012 ("Sweepstakes Period"). The Sweepstakes Period will be divided in to three (3) consecutive, sixteen (16) week entry periods (each an "Entry Period"), each of which are comprised of 16 weekly entry periods which begin each Tuesday at 2:00:00 p.m. CT and end the following Tuesday at 1:59:59 p.m. CT (each a "Weekly Entry Period").

Entry Period 1: 2:00:00 p.m. CT on April 5, 2011 through 1:59:59 p.m. CT on July 26, 2011

Entry Period 2: 2:00:00 p.m. CT on July 26, 2011 through 1:59:59 p.m. CT on November 15, 2011

Entry Period 3: 2:00:00 p.m. CT on November 15, 2011 through 1:59:59 p.m. CT on March 6, 2012

How to Enter: Go to www.tidycats.com and click on "Join the Tidy Cats® Community," then click on the "Create Your Profile" button to create a personal profile by (a) providing your name, home address, date of birth, e-mail address, and phone number; (b) completing the profile basics page; (c) uploading at least one photo of your cat or cats (and yourself if you would like); and (d) answering a short survey ("Profile"). Upon submitting your completed Profile, you will receive one entry into the Sweepstakes. Photo(s) must be less than 4 MB each and must be in either JPG, PNG or BMP format. Those who created a Profile prior to each Entry Period can enter once during each Entry Period by logging in to their account and clicking the "Enter Sweepstakes" button on the Welcome Back Page at www.tidycats.com/community/profile. Profiles must be received by 1:59:59 p.m. CT on March 6, 2012 to be eligible for entry into the final Weekly drawing. There is a limit of one (1) entry per person, household or e-mail address per Entry Period. By entering, you agree to these Official Rules, which are final and binding in all respects.

By creating a Profile, entrants agree to comply with the Sponsor's Terms and Conditions for User Generated Content which can be found at: http://www.purina.com/general/TermsAndConditionsUserGeneratedContent.aspx. Any profile that does not comply with these Terms will not be posted to the website and will not be eligible for entry into the Sweepstakes.

Weekly Random Drawings: On or about the Friday after each Weekly Entry Period ends, a random drawing will be conducted by Promotion Fulfillment Center, an independent judging organization whose decisions are final and binding on all matter relating to this Sweepstakes, from among all eligible entries received thorough the end of the preceding Weekly Entry Period to select one winner (each a "Weekly Drawing"). All non-winning entries will be carried over into subsequent Weekly Drawings for that Entry Period.

Prizes:

Entry Period 1: Sixteen (16) Weekly Prizes (one (1) per Weekly Drawing): a $100 SpaFinder® gift card. Approximate Retail Value of each Weekly Prize: $100.00.

Entry Period 2: Sixteen (16) Weekly Prizes (one (1) per Weekly Drawing): Ten (10) $10.00 Coupons good toward the purchase of Tidy Cats® brand Cat Litter, any size/variety. Approximate Retail Value of each Weekly Prize: $100.00.

Entry Period 3: Sixteen (16) Weekly Prizes (one (1) per Weekly Drawing): a $100 Tidy Cats® Visa gift card. Approximate Retail Value of each Weekly Prize: $100.00.

Total Approximate Retail Value: $4,800.00

Odds of winning depend on the number of eligible entries received for each Weekly Drawing. All federal, state and local taxes on prizes are the sole responsibility of the winners. Prize may not be transferred or assigned. No prize substitution or cash redemption, except in the case of prize unavailability, in which case the Sponsor reserves the right to substitute a prize of equal or greater value. Gift cards are subject to terms set by the issuer.

Releases and General Conditions: Potential winners will be notified by mail. If prize or prize notification is returned as undeliverable, prize may be forfeited and may be awarded to an alternate winner. Acceptance of any prize constitutes permission to use winner's name and likeness for publicity purposes without further compensation in any and all media now known or hereinafter without territorial restriction (except where prohibited by law). By entering, entrants agree, and by accepting a prize, winners agree, to release and hold Nestlé Purina PetCare Company, its subsidiaries, affiliates, directors, employees, agents, successors and/or assigns and their advertising and promotional agencies ("Sweepstakes Parties") harmless from any damage, loss or liability to person or property, due in whole or part, directly or indirectly, by reason of participation in this Sweepstakes or the acceptance, possession, use or misuse of prize or travel in connection therewith. Any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes, or any prize awarded, shall be resolved individually, without resort to any form of class action, and exclusively by arbitration. Any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorney's fees.

Sponsor reserves the right, in its sole discretion to cancel or suspend this Sweepstakes and award the prizes from among all eligible entries received prior to action taken by Sponsor, should fraud, virus, bugs or other causes beyond the control of Sponsor corrupt the administration, security or proper play of the Sweepstakes. Sponsor may prohibit you from participation in the Sweepstakes if Sponsor determines that you have acted in a manner that affects the administration, security, fairness or proper play or conduct of the Sweepstakes in any way, with intent to annoy, threaten or harass any other entrants or the Sponsor. In the event of a dispute regarding the identity of an entrant, the Entry will be deemed to be submitted by the "authorized account holder" in whose name the email address is registered, provided that person meets all eligibility criteria set forth in the Eligibility section of these Official Rules. "Authorized Account Holder" shall mean the natural person assigned to an email address by an Internet Access provider, on-line service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Sponsor reserves the right at its sole discretion, to disqualify any individual, and all of his/her entries, who tampers with the entry process. Automated entries are prohibited, and any use of automated devices will cause disqualification.

By entering, entrants agree that all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, participant's rights and obligations, or the rights and obligations of the Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of State of Missouri, without giving effect to any choice of law or conflict of law rules. By entering, entrants consent to the jurisdiction and venue of the federal, state and local courts located in St. Louis, Missouri. Please see the website's privacy policy located at www.tidycats.com for details regarding the use of personal information collected in connection with this Sweepstakes.

LIMITATIONS OF LIABILITY: No liability or responsibility is assumed by Sponsor or Sweepstakes Parties resulting from any user's participation in or attempt to participate in the Sweepstakes or ability or inability to submit any information in connection with participating in the Sweepstakes. No responsibility or liability is assumed by the Sponsor or Sweepstakes Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Sweepstakes: hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other on-line communication problems; errors or limitations of any Internet service providers, servers, hosts or providers; garbled, jumbled or faulty data transmissions; failure of any email transmissions to be sent or received; lost, late, delayed or intercepted email transmissions; traffic congestion on the Internet; unauthorized human or non-human intervention of the operation of the Sweepstakes, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, worms; or destruction of any aspect of the Sweepstakes, or loss, miscount, misdirection, inaccessibility or unavailability of an email account used in connection with the Sweepstakes. Sponsor and Sweepstakes Parties are not responsible for any typographical errors in the announcement of prizes or these Official Rules.

Winner: You may obtain the names of the winners by sending a self addressed, stamped envelope to: Tidy Cats Community Sweepstakes Winners List, Dept. MM, PO Box 5700, Clinton, IA 52736-5700. Requests must be received by April 6, 2012.
